LLC Formation in the United States

You have a business idea, an investment in mind, or partners ready to move forward. Now you need to decide where to form the company, how ownership will work, and what documents you need.

LOIGICA helps you work through those decisions and complete LLC formation in the United States. Our service includes planning the ownership structure and preparing an operating agreement that reflects how you intend to run the company.

Tell us what you plan to do, even if you have not chosen a state yet.

What Is an LLC

A limited liability company, or LLC, is a business entity formed under state law. Its owners are called members. An LLC can have one owner or several, subject to the applicable rules.

Its legal structure and federal tax treatment are separate questions. The number of owners and any tax elections affect how the IRS treats the company. We address those questions during planning and identify where tax advice is needed.

An LLC may suit an operating business or an investment arrangement. The right choice depends on what you want to do, who will participate, and where the activity will take place.

When to Consider LLC Formation Services

You may need help when you are:

01 Starting a U.S. business with one or more owners.
02 Planning an investment and evaluating how to hold it.
03 Expanding a business from another country into the United States.
04 Working out each partner’s contribution and decision-making authority.
05 Comparing state requirements before committing to a filing.

If you already have an LLC, tell us what needs attention. Reviewing an existing company may be more appropriate than creating another entity.

Choosing Where to Form

Choosing Where to Form Your LLC

The state you choose should reflect where the business will operate and what it needs. We discuss your activities, owners, and expected locations before evaluating the options.

Forming in one state may still require registration in another state where you do business. That additional registration can bring separate fees and reporting obligations. A low initial filing fee does not show the full ongoing cost.

Tell us where you expect to have premises, employees, or regular business activity. If you are unsure, we can identify the questions to resolve before choosing the filing state.

Your LLC Operating Agreement

The operating agreement addresses how the company works internally. For a business with several owners, it can explain contributions, management authority, distributions, and procedures for ownership changes.

For example, you and a partner may contribute different amounts but want certain decisions to require both signatures. Those expectations need careful discussion before the agreement takes shape.

LOIGICA prepares the operating agreement as part of the formation service. We explain the proposed terms and address your questions before signing. Requirements and the effect of particular provisions depend on the applicable state law.

What LOIGICA Can Help You Put in Place

Our LLC formation services connect the registration work with the decisions behind it. Depending on the agreed engagement, we help you:

01 Assess the proposed LLC and select an appropriate formation state.
02 Define ownership and management arrangements.
03 Prepare and file the required formation documents.
04 Draft and review the operating agreement.
05 Consider tax classification and connections to existing international structures.

We also identify related needs, such as a registered agent, an EIN, licenses, or additional state registrations. We clarify which tasks the engagement covers and which require separate services.

Forming an LLC as a Non U.S. Resident

Many states allow foreign individuals and entities to own LLCs. Living abroad does not, by itself, prevent ownership. Your business activity and the applicable rules still need review.

Tell us where each owner lives and whether an existing foreign company will hold an interest. Those facts can affect the tax analysis and the documents needed.

Foreign ownership can also create information-reporting obligations. For example, certain foreign-owned single-member U.S. LLCs must file Form 5472 with a pro forma Form 1120 when required. We flag the need for tax review rather than assuming that no income means no filing.

Why Work With LOIGICA

You need to understand the company you are creating and the documents you will rely on. We explain the decisions in practical terms and connect the formation work to your intended business or investment.

For international clients, we consider how the U.S. entity relates to existing arrangements abroad. We identify questions for your other advisors and explain the scope of our work before implementation.

Frequently Asked Questions

What are the basic LLC requirements?

Requirements vary by state. They generally include an acceptable company name, a registered agent, formation documents, and a filing fee. The business may also need tax registrations or licenses. We review the requirements for your proposed activity and location.

How much does LLC formation cost?

The total depends on state fees, the ownership arrangement, and the professional services involved. Recurring charges may include registered agent services and state filings. We explain the proposed legal fee and identify additional costs relevant to the engagement.

How long does LLC registration take?

State processing times and document preparation affect timing. We assess the steps after reviewing your plans. An approved filing does not mean that banking, licenses, or other requirements are complete.

Does an LLC protect all my personal assets?

An LLC generally limits liability arising solely from being an owner. It does not shield you from every personal obligation or claim. Personal guarantees and your own conduct can create exposure. We discuss relevant limits for your plans.

Can I apply for an EIN without a Social Security number?

An EIN application may still be possible. IRS instructions provide for responsible parties who lack and are ineligible for an SSN or ITIN. The correct application method depends on the facts. We clarify whether EIN assistance is included in your engagement.

Will formation include a bank account or ongoing tax returns?

Those are separate tasks. A bank decides whether to approve an account, and tax work depends on the agreed engagement. We clarify the included services so you know what remains after formation.
